[ IC2IC.com Membership Terms and Conditions ]
Article 1. (Purpose)
The purpose of this stipulation is to provide for rights, obligations and responsibilities of the users (here in after referred to "Members") regarding the use of the electronic parts related information (hereinafter "Service") provided by IC2IC.COM. (here in after "Company") via Internet.

Article 2. (Clear statement and revision of Stipulation)
This stipulation shall go into force when a "member" click on "agree" button. "Company" shall post on the site the contents of the stipulation, the name of company, place of business, name of the representative, business registration number, contacts (telephone, fax, email address, etc.) and so forth so that the users can be informed of such information.

Article 3. (Acquisition of membership)
"Member" shall mean an individual or a company who accepted this stipulation for "Service" users, and duly acquired a membership by completing registration procedures which include filling up the membership application form and registering of the application in writing or via Internet. In the event that any reason for not accepting the application is found after examining the form, entry of the applicant can be rejected.
"IC2IC.COM" shall permit the use of "Service" when a "member" applies for "Service" after filling in all the items correctly; however, it shall not give such permission in the following cases.
1.
When an applicant made a false description in the application form.
2.
When the purpose of application is to disturb the peace or public morals of the society.
3.
When an applicant does not meet any other qualification set by "Company"
In the event that any change has been made to any item of the registration, "Member" shall promptly revise it via email or any other method.

Article 4. (Termination of membership / Deletion of data)
When a "member" wishes to terminate his/her membership, he or she may directly do so by using the function of "Service". "Company" may, at its discretion, delete the data of the member who expressed his/her intention to terminate, as well as the data it considers has been laid aside by a relevant member without management for more than three months. In the event that any data registered by "member" turns out to be a false fact or incorrect, or that a member uses the "Service" unfaithfully, "Company" may terminate the membership of the pertinent member at its discretion.
In the event any paid user of "Service" shall disclose his/her username to a third party whether on purpose or by accident, creating another user of "Service", "Company" may terminate the membership of the pertinent member.

Article 5 (Responsibility to the contents of data)
The contents of the data shall be prepared in good faith based on facts, and all the responsibilities arising from false description or incorrect information shall revert to the pertinent member.
Even if a member entrusted an agent with management of his/her own data - in principle, the relevant member himself/herself shall manage all data -, the member himself/herself shall take all the responsibilities regarding the contents of data. Therefore, members should check their data on a regular basis to keep them updated and correct all the time.
"Company" shall not take any responsibility for any damage arising from the use or application of the data included in "Service".
"Company", under any legal ground, shall not be liable for any damage, whether direct, indirect, special, contingent or consequential, occurred in relation with the products directly traded for sales/purchase between its members under this "Service".

Article 6. (Obligations of "Company")
"Company" shall have the obligations to maintain and develop the programs required for "Service" and to provide stable information to its "members". "Company" shall back-up and keep the data of its members.
In the event "Service" shall be suspended because of an occurrence of any unexpected event including, but not limited to, an act of God, "Company" shall not take responsibility for any damage arising from such suspension; provided that it shall exert its utmost efforts for recovery of data or normalization of "Service".
"Company" shall actively engage in marketing activities to promote the purchase/sales information.

Article 7. (Obligations of members)
"Members" shall duly comply with all the provisions set forth by this "Service".
"Members" shall have responsibility for the management of username and password.
A "Member" shall not transfer or confer his/her username to a third party. In the event any third party improperly used a member's username without permission, the relevant member shall notify thereof to "Company" without fail.
"Members" shall pay the charges for the use of "Service" within designated period. In case a member uses a credit card for settlement, the member himself/herself shall ensure that information such as password will not be disclosed.
A member's credit may be evaluated based on his/her compliance with all the provisions set forth under this "Service". "Members" are not allowed to provide the information they acquired in using this "Service" to any third party whether for free or for charge.

Article 8. Effective date of the stipulation
This stipulation shall come into force as of November 12, 2005.
